This is an Agent Agreement (herein also referred to as, “Agreement”) between you and Tech Gods, Inc. (also referred to herein, as "Us," “We,” “Our,” or "Ours") and is binding as of the date of execution of this Agreement by Tech Gods, Inc.  Upon you clicking the "SUBMIT" button at the end of the AGENT AGREEMENT ADDENDUM A, below (which forms an integral part of this Agreement), AND AFTER the subsequent acceptance and execution of the Agreement by Us, you shall be sent an executed copy of this Agent Agreement by U.S. Mail, or via email. You shall only then be permitted entry, with the General Admission fee ($2,995 per Tech Titan Summit---herein also referred to as, the “Tech God Fee”) waived, to any and all Tech Titan Summits in the United States, subject to capacity constraints and other possible factors during the Exclusivity Period of this Agreement, and provided you bring proof via a verifiable copy of this executed Agent Agreement, or verifiable admission pass to the Tech Titan Summit you wish to attend;

Notwithstanding the foregoing, however, it is important to hereby recognize the following:

​

1. i)    That each and every Tech Titan Summit is limited by capacity constraints; and

2. ​

3. ii)   Therefore, for ANY Tech Titan Summit you might desire to attend (herein, referred to as the “Desired Summit”),                                            you must complete the registration procedures on the “TECH GOD REGISTRATION” page (herein referred to as, the “Registration                  Application”) at http://www.techgods.net (herein referred to as, the "Tech God Web Site");  and

4. ​

5. iii)  Upon receipt of said Registration Application you must be subsequently ACCEPTED AND APPROVED for entrance to the                                  Desired Summit by Us, with the Tech God Fee being waived upon Our acceptance and approval of the Registration Application                    request and your notification thereof via U.S. Mail or via email, by Us (herein referred to as, the “Free Registration”); and

7. iv)   Because of either capacity limitations at the Desired Summit or other reasons (both of which shall be decided on Our own sole                discretion and authority), a Free Registration may not be possible for the Desired Summit and you would not be granted a Free                Registration for the Desired Summit, as a result.  You may apply for Free Registration at other Tech Titan Summits, subject to the            terms and conditions of this Agreement.

RECITALS

​

Whereas, Tech Gods, Inc. requires details of your capabilities in the technology industry, as well as personal details when seeking employment (e.g. address, social security number, etc.) and such details are best known only by you; and

​

Whereas, Tech Gods, Inc. shall be spending resources reviewing your submitted information and may need to share such information with various potential employers, potential investors, or other persons of interest; and

​

Whereas, Tech Gods, Inc. spends considerable time and resources in planning and organizing the Tech Titan Summits; and

​

Whereas, Tech Gods, Inc., upon acceptance of you as a client and its execution of this Agent Agreement, shall waive the Tech God Fee which is published on the Tech God Web Site at $2,995 for General Admission to a Tech Titan Summit during the Exclusivity Period of this Agreement, subject to the terms and conditions herein (and particularly the capacity constraints and other issues above in Sections 1), 2), 3) and 4); and

​

Whereas, you have a desire to attend one, or more, Tech Titan Summits and be exclusively represented by Us, as defined herein; and

​

Whereas, you desire to have Tech Gods, Inc. represent you, as your exclusive Agent;

​

NOW, THEREFORE, in consideration of the foregoing provisions, terms and conditions, and the additional terms and conditions herein contained and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the following terms and conditions apply:

​

1)    By submitting this completed Agent Agreement and AGENT AGREEMENT ADDENDUM A (which is an integral part of this Agent Agreement) below, by clicking the “Submit” button, you agree to permit and you appoint Tech Gods, Inc. to be your exclusive agent to a restricted list of potential hiring companies and potential hiring investors who register for a Tech Titan Summit (herein referred to collectively as, the “Restricted Companies”), with the exception that your existing employer, if you are employed, shall not be considered part of the Restricted Companies; and

 

2)    The period of exclusivity for Us to be your agent with the Restricted Companies, shall be for a term which commences from the period of time of Our executing this Agent Agreement, until twelve months after the date of the next Tech Titan Summit (herein referred to as, the “Exclusivity Period.”), unless the term of this Agent Agreement is extended as provided for herein; and

 

3)    You hereby agree that Tech Gods, Inc. shall be paid a 7% placement fee by the Restricted Companies on the value of your employment agreement, or employment arrangement, which may be provided to you by any of the  Restricted Companies; however, in the case of an employment arrangement with any of the Restricted Companies which is “at will” and no formal employment contract, or formal written agreement is made with them, then your monthly or hourly wage, gross salary, or other payments you receive from any of the Restricted Companies shall be annualized over a twelve-month period, and the 7% shall be applied to this figure.  Any fee paid to Tech Gods, Inc. shall not include the value of any equity, or securities-based compensation you might receive in an employment arrangement with any of the Restricted Companies.  You hereby acknowledge that Tech Gods, Inc. is not a broker-dealer and does not accept or charge fees on any securities which you might receive and you shall not include their value in any calculation thereof.  You also acknowledge, that as a condition of entry to the Tech Titan Summit, you have read the Tech God Web Site and the “Tech Titan Summit Program Description, Conditions & Rules,” and that the Restricted Companies, as a condition of entry and attendance to the Tech Titan Summit, have agreed to pay said 7% placement fee (said 7% placement fee and the description thereof in this paragraph is referred to herein as, the “Placement Fee”); and

 

4)    Notwithstanding the foregoing, however, if you decide to accept employment with any of the Restricted Companies and any of the Restricted Companies does not pay Us the Placement Fee within thirty days of your first day of work at any of the Restricted Companies (herein referred to as, the “Nonpayment”), then you shall be immediately liable for said 7% fee, and you hereby agree to make payment to Tech Gods, Inc. immediately upon the Nonpayment by any of the Restricted Companies; and

 

5)    You hereby agree to the Tech Titan Summit Program Description, Conditions &Rules, as referred to above; and

 

6)    You hereby acknowledge and agree that any reference to the “Tech Titan Summit” is referring to its description at the Tech God Web Site and acknowledge you have read and understood it; and

 

7)    You hereby warrant and represent that to your best knowledge and belief, the responses you provide in the AGENT AGREEMENT ADDENDUM A below, which form an integral part of this Agent Agreement, and your responses and information you provide to Us are honest and true; and

 

8)    You hereby acknowledge the importance of the integrity and honesty of your responses includes the representations you make in your resume, which you are required to submit to Tech Gods, Inc. via a link on this submission form, below, or via email, concurrent with you Submitting to Us this Agent Agreement, which may be sent to:   resume@techgods.net ; and

 

9)    You hereby agree to check off, or otherwise note on the application form in the area for listing other specific skills, (e.g. “List other specific skills-e.g. if you know Fortran, type "Fortran") the skills and capabilities which apply to you in core programming, software, hardware and/or other technology; and

 

10)   You hereby also grant Us permission to further incorporate details about you into Our database from your resume, or other information you provide to us, if We deem it appropriate, in Our sole discretion; and 

 

11)    You hereby also acknowledge your application is not complete without the receipt of your resume by Us, and Tech Gods, Inc. may in its sole discretion, either accept you, or reject you as a client, as a result, and if you are subsequently accepted as a client via Our execution of the Agent Agreement without you submitting a resume, then the resume provisions of this Agent Agreement are waived; and

 

12)   You hereby agree to permit Tech Gods, Inc., or any of its affiliates, or designees, to run a background and/or credit check on you, utilizing the personal details you provide Us, as well as permission to contact any of the Restricted Companies, if and when you become employed by any them, to verify your compensation, compensation plan, and/or other employment arrangements; and

​

13)   You hereby agree you shall provide Tech Gods, Inc. with a copy of any and all employment agreements, or written arrangements you might have with any of the Restricted Companies during the Exclusivity Period, within one week of starting employment with any of the Restricted Companies, and if you do not have a written agreement, or written arrangement, then you shall email Tech Gods, Inc. at:  Zeus@techgods.net with an accurate summary of your compensation arrangements you agreed to with the Restricted Company; and

 

14)   You hereby agree that if you are successful in gaining employment with any of the Restricted Companies within the Exclusivity Period, the Exclusivity Period and this Agent Agreement shall be extended for an additional three-year period from the date of employment with any of the Restricted Companies and all terms and conditions contained in the Agent Agreement shall continue to apply; and

 

15)   You hereby acknowledge and agree that this Agent Agreement is assignable by Us, without restriction, and We shall not bear any liability for this Agent Agreement, of any kind, if and when this Agent Agreement is assigned to another party in the future; and

 

16)   You and Tech Gods, Inc. hereby agree that any controversy or claim arising out of, or relating to this Agent Agreement, or the breach thereof, shall be settled by arbitration administered by the American Arbitration Association, under its Commercial Arbitration Rules in New York, or such other place stipulated by Tech Gods, Inc., and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.  You and Tech Gods, Inc. further agree that any controversy or claim arising out of, or relating to this Agent Agreement, or breach thereof, shall be submitted to one arbitrator; if you and Tech Gods, Inc. cannot mutually agree on who the arbitrator shall be within thirty days of the issuance of a notice of arbitration, then you and Tech Gods, Inc. shall have an arbitrator appointed to the controversy, or claim, by the American Arbitration Association; and

 

17)   This Agreement is governed by, and all disputes arising under, relating to, or in connection with this Agreement shall be resolved in accordance with the laws of New York, USA, or other jurisdiction if stipulated by Tech Gods, Inc; and

 

18)   Your agreement to the terms and conditions of this Agent Agreement is confirmed with your submission of this Agent Agreement to Us when you click the “Submit” button at the bottom of the AGENT AGREEMENT ADDENDUM A below.  Our agreement to this Agent Agreement and acceptance of you as a client by Tech Gods, Inc., shall be consummated upon Our sending you an email indicating Our acceptance of you as a client, along with Our executed copy of this Agent Agreement; the date of commencement of the Agent Agreement shall commence upon the execution of it by Tech Gods, Inc.  At Tech Gods, Inc. sole discretion, it may ask you (and if you are asked, you shall be required) to “hand sign” your signature with a pen, an additional copy of this Agent Agreement and email it back to Tech Gods, Inc. to:  resume@techgods.net, or otherwise deliver it via overnight, or registered mail to:
