TERM
Upon successful completion of a transaction with a cryptocurrency provider, the retail alliance individually and severally shall grant Tech Gods, Inc. a three-year exclusive extension to the initial contract term.
The initial contract term for each alliance, unless otherwise agreed to in writing, is for three years. In each alliance, Tech Gods, Inc. shall require a minimum of $1,000,000 in licensing fees (payable in cash or cryptocurrency) from interested parties, in exchange for the rights to provide cryptocurrency merchant services to the alliance membership during a maximum three-year term. Obviously, the larger the number of retailers there are in an alliance, Tech Gods, Inc. would expect to have greater negotiating power with potential cryptocurrencies, or cryptocurrency enablers/providers, thereby allowing Tech Gods to negotiate more effectively.
The initial Agreement found online has a deadline! We shall close out the initial Alliance Agreement as soon as we negotiate a successful transaction with a cryptocurrency provider and/or enabler. Alliance members may opt out of the agreement with Tech Gods, Inc. if Tech Gods, Inc. has not closed an acceptable transaction by August 30, 2019. In the event an offer is made below $1,000,000 for the license rights to provide cryptocurrency services to the alliance members, Tech Gods, Inc. shall bring said offer to its alliance members for a straight-up vote---to accept, or reject the offer, by majority rule.
AS PART OF THE EXCLUSIVE REPRESENTATION AGREEMENT, ALLIANCE MEMBERS ALSO AGREE TO ENTER A NON-CIRCUMVENT AGREEMENT WITH TECH GODS, INC. THIS PROVISION PREVENTS ANY AND ALL ALLIANCE MEMBER(S) FROM NEGOTIATING DIRECTLY, OR INDIRECTLY, WITH ANY CRYPTOCURRENCY PROVIDER, ENABLER OR OTHER ENTITY WHICH MAY PROVIDE (OR CAUSE TO PROVIDE), INDIRECTLY OR DIRECTLY, CRYPTOCURRENCY SERVICES TO ALLIANCE MEMBERS, OR MEMBER.
The non-circumvent agreement shall last for one year after the date of termination of the alliance members' exclusive agreement with Tech Gods, Inc.
FEE SPLIT
Upon completion of a successful negotiation with a cryptocurrency provider, and/or enabler, licensing fees are split 50% to Tech Gods, Inc. and 50% to the retail alliance members (initially during the first license-term period, the retail alliance members' share shall be split evenly among the alliance members, regardless of size). Tech Gods, Inc. handles our ongoing costs of negotiation, as well as the costs associated with our sales, marketing, and overhead of the effort.
Over time, there may be multiple alliances as cities, neighborhoods, and retailers may naturally band together depending on geography, demographics, and/or type of retail establishment. Each alliance shall enter a distinct and separate agreement for each deal landed with cryptocurrency providers and/or enablers.
Alliance members also agree to pay Tech Gods, Inc. a 1% fee on retail transactions for cryptocurrency transactions (that were negotiated by Tech Gods, Inc. via its exclusive representation agreement with an alliance). Alliance members also permit Tech Gods, Inc. (and/or any party it contracts with to provide cryptocurrency services, coins, digital tools, or capabilities for the alliance members) to have unrestricted use of each alliance member's logos, marketing materials and other sales or promotion information relevant to each alliance member.
DEAL STRUCTURE
EXCLUSIVITY
The alliance members grant Tech Gods, Inc. the exclusive right to sell, market, promote and otherwise negotiate on behalf of the alliance members with any cryptocurrency providers and/or cryptocurrency enablers to provide cryptocurrency services to the alliance members. The period of exclusivity shall be for the duration of the terms and conditions of the agreement with Tech Gods, Inc.
The alliance members agree to accept the cryptocurrency (or cryptocurrencies) which were designated in the agreement reached between the cryptocurrency provider(s), cryptocurrency enabler(s) and Tech Gods, Inc. during the contract period. Furthermore, the alliance members agree to permit installation at each of its retail locations the necessary hardware, software, Internet access, or computer systems necessary to process said cryptocurrency transactions, however costs related to the deployment and installation of hardware, software and training (if appropriate) shall be borne by the cryptocurrency provider(s) or enabler(s), as may be reasonably necessary. Notwithstanding the foregoing, however, the alliance members shall bear the cost of Internet connectivity and/or other mobile telephone connections necessary to process cryptocurrency transactions and alliance members are required to bear the cost of having and maintaining a mobile phone and/or a computer (and each of these shall have and maintain Internet connectivity, as appropriate) to help facilitate cryptocurrency transactions, as necessary.

"Sign Up" is online to enter an agreement with Tech Gods, Inc. Simply click the "Sign Up" tab at the top of this menu page, or click a "Sign Up" Button on one of our web pages. Please read the agreement carefully and type in the information requested, where appropriate.
In the agreement, you will be asked to provide your estimate of the next twelve months' revenues generated in your business, and your revenues during the last twelve months. The success of the alliance depends on having legitimate businesses involved with it. This is why, to prevent fraud, Tech Gods, Inc. requires real businesses, with real revenues, to be the only members eligible to join the alliance. Any business or entity, which attempts to join the alliance and is found to not be legitimate (in Tech Gods, Inc. sole discretion), may be expelled from the alliance by Tech Gods, Inc. and said business or entity shall forfeit any and all rights to any franchise fees and its agreement with Tech Gods, Inc. shall be immediately terminated and deemed null and void, without any liability or damages of any kind being incurred in the future, past, or present by Tech Gods, Inc. and/or its assigns, as a result.
Additionally, Tech Gods, Inc. also shall not accept any business deemed to be a purveyor in the sex industry or be a business which may be involved in any illegal activities (herein, collectively referred to as "Inappropriate Activities"); any business or entity found to be involved with Inappropriate Activities shall be expelled from the alliance membership and said entities shall forfeit all rights to any franchise fees and its agreement with Tech Gods, Inc. shall be immediately terminated and deemed null and void, without any liability or damages of any kind being incurred in the future, past, or present by Tech Gods, Inc. and/or its assigns, as a result. Tech Gods, Inc. reserves the right, in its sole discretion, to expel any and all alliance member(s), at any time from the alliance and terminate its agreement with it (them), thereby making Tech God's agreement with the alliance member(s) null and void. With fraud rampant on the Internet, Tech Gods, Inc. requires this control to guard against fraudulent activity (e.g. fake businesses trying to sign up for free cryptocurrency, etc.) and undesirable businesses.
Alliance members are asked to provide the person's name and title of authority who enters the agreement with Tech Gods, Inc. on behalf of the member. Members also provide their business name, business email address, the location(s) of the business(s) and the phone number of the business.
An electronic signature is as good as a hand-written one, and it is important to read the agreement carefully and seek legal counsel as appropriate, before signing and submitting the agreement to Tech Gods, Inc.
Time is of the essence as Tech Gods, Inc. is seeking to close its first alliance membership as soon as possible, and may do so if it receives a commitment from a cryptocurrency provider, enabler or other interested parties.
